What the payroll form records
Oregon's Business Change in Status form includes sale, lease and transfer choices. It asks for the effective date, final payroll date, buyer details and what was transferred.
It also asks where the seller's records will be kept. Put that responsibility on your closing list rather than searching for a custodian after the handoff.
Match the report to the transaction
- Identify the employer name and Oregon BIN.
- Confirm whether all or part of the operation is moving.
- Reconcile the closing date with the final payroll date.
- Record how many employees transfer and the buyer's details.
The form states that an entity change requires a new Combined Employer's Registration. Check the seller's and buyer's separate obligations with the payroll adviser.
Keep the closing checklist broader than one form
This is not a universal sale clearance or a substitute for final returns. Your transaction may also involve local tax accounts, name registrations and operating permissions.
Have your CPA or payroll provider confirm the applicable filings and the person responsible for each one. A stock sale and an asset sale can leave different entities in place.
